Structure and decision-making
Executive Board
The board holds legal responsibility for the organization. It meets quarterly, adopts the annual plan, budget and accounts, appoints programme leads and maintains the register of members. Decisions are minuted, and any member with a personal interest in a matter withdraws from the deliberation and the vote.
Administrative Office
Operations are administered from Triq IL-Kbira, Ħaż-Żebbuġ ZBG 1305, Malta. The office maintains enrolment records, procurement documentation, safeguarding files and financial records, and responds to enquiries received on +356 9991 1394 and at info@cicadaarts.sbs.
Finance Committee
An appointed committee reviews expenditure against budget, verifies that restricted grants are applied only to their designated purposes, and prepares the annual accounts for board adoption and statutory filing.
Advisory Committees
Education, artistic programming and inclusion committees bring independent professional expertise, assess scholarship applications and review programme quality on behalf of the board.
How resources, donations and grants are managed
Non-distribution
All income is applied exclusively to the social purposes set out in our statute. No surplus, asset or income may be distributed to members, officers or volunteers.
Restricted funds
Grants and designated donations are recorded separately and spent only on the purpose for which they were given. Unspent restricted balances are carried forward, never reallocated without the funder's consent.
Dual authorisation
Payments above a threshold set by the board require two authorised signatories. Procurement over that threshold requires comparative quotations retained on file.
Record keeping
Invoices, receipts, contracts and bank statements are retained at the registered office for the period required by Maltese law and are available for inspection by our auditors and the competent authorities.
Annual reporting
An annual report and set of accounts are prepared each financial year, adopted by the executive board and filed in accordance with our obligations as an enrolled voluntary organization.
Conflicts of interest
Board and committee members declare personal or commercial interests on appointment and before any related decision. Declarations are recorded in the minutes.
Ethical and operational standards
Safeguarding
Anyone working with minors or vulnerable adults is vetted and briefed on our safeguarding policy. Concerns are reported to the designated safeguarding lead and, where required, to the competent authorities.
Data protection

Participation, employment and volunteering opportunities are open without discrimination on grounds of nationality, ethnicity, religion, gender, age, disability or economic means.
Complaints
Any participant, partner or member of the public may raise a concern in writing to info@cicadaarts.sbs. Complaints are acknowledged and answered by the administrative office, and escalated to the board where they concern governance.
